Climax Molybdenum Company wishes to advise the Colorado Office of Mined Land <br />Reclamation of a recent change of ownership several levels upstream in its parent corporate structure. As <br />shown below, Climax Molybdenum Company remains the same entity that it was before the recent action and <br />retains the same name; therefore, no Permit action is needed. This letter is sent merely for purposes of <br />clarification and information, following news of the recent action. <br />Both before and after the recent action, the corporate ownership for Climax Molybdenum Company is as follows: <br />1. Climax Molybdenum Company is a wholly owned subsidiary of the Cyprus Climax Metals Company; <br />2. Cyprus Climax Metals Company is a wholly owned subsidiary of the Cyprus Metals Company; <br />3. Cyprus Metals Company is a wholly owned subsidiary of the Cyprus Amax Minerals Company; and <br />4. Cyprus Amax Minerals Company is wholly owned subsidiary of Phelps Dodge Corporation. <br />On March 19, 2007, Panther Acquisition Corporation, a wholly owned subsidiary of Freeport-McMoRan <br />Copper & Gold Inc., merged with and into Phelps Dodge Corporation, with Phelps Dodge Corporation as the <br />surviving corporation. From and after that date, Phelps Dodge Corporation and all of its downstream <br />subsidiaries (including Climax Molybdenum Company) are direct and indirect, wholly owned subsidiaries of <br />Freeport-McMoRan Copper & Gold Inc. <br />As you can see, there has been no change in the identity or name of Climax Molybdenum Company <br />and its parents, up through and including Phelps Dodge Corporation. Therefore, Climax Molybdenum Company <br />continues to be the permittee, subject to all of the permit's current terms and conditions. Likewise, any and all <br />responsibilities and obligations held by the parent corporations in reference to this permit prior to the recent <br />action remain in full effect with the parent corporations.
