Effective June 30, 1999, Colorado Yampa Coal Company is
no longer in any way affiliated with Cyprus Amax Minerals Company or Amax Energy Inc.
Neither the above permit nor Colorado Yampa Coal Company, the permittee, have been
transferred. However, the stock of its parent company, Cyprus Amax Coal Company, has
been sold to RAG American Coal Company. Subsequently, Cyprus Amax Coal Company
was merged into RAG American Coal Company, with RAG American Coal Company being
the surviving entity. An organization chart showing the corporate ownership of the
permittee up to and including the ultimate U.s. parent company is enclosed.
Enclosed with this letter is a page listing all the officers and directors of Colorado
Yampa Coal Company that resigned on June 30, 1999, and all of the new officers and
directors that were elected on June 30, 1999. As evidence of these resignations and
elections, attached are copies of the resolutions of Colorado Yampa Coal Company,
accepting the resignations of those officers and directors resigning and electing new
officers and directors effective June 30, 1999.
At this time, all bonds posted by the permittee remain in place without change. At
a later date, we may submit replacement bonds for some or all of the existing bonds due
to changes in the surety. Anew insurance certificate for the permittee is enclosed.
