account debtors at any time, in the name of Guarantors, Lender or r any designee of Lender, information concerning the Collateral and any amounts owing with respect thereto, (iv) on or after the occurrence of an Event of Default, notify account debtors to make payment directly to Lender, (v) on or after the occurrence of an Event of Default, take or bring, in the name of Lender or Guarantors, all steps, actions, suits or proceedings deemed by Lender necessary or desirable to effect collection of the Collateral, (vi) enter Guarantors' premises for the purpose of inspecting, verifying, auditing, maintaining, preserving, protecting and removing the Collateral, and execute in the name and on behalf of Guarantors one or more Uniform Commercial Code financing statements or amendments with respect to the Collateral, naming Guarantors as debtor and Lender as secured party and indicating and describing therein the types and the items of Collateral. Each of Guarantors hereby releases Lender, its officers, employees and designees, from any liability arising from any act or acts taken under such power-of-attorney under the Guaranty, this Agreement, the other Financing Agreements or in furtherance hereof or thereof, whether of omission or commission, and whether based upon any error of judgment or mistake: of law or fact, except for gross negligence or wilfull misconduct:. 3. (b) Guarantors' books and records and chief executive offices are maintained at the addresses referred to below. Guarantors shall not change such locations without Lender's prior written consent and prior to making any such change, each of Guarantors agree to execute any additional financing statements or other documents or notices which Lender may require.
