to a court of equity for an injunction to restrain a breach or <br />threatened breach by Guarantors or any other person liable on or in <br />respect of the Obligations of this Agreement, the Guaranty, the <br />other Financing Agreements or such other agreements. <br />6. MISCELLANEOUS <br />(a) Notwithstanding that Lender, whether on its own <br />behalf and/or on behalf of others, may continue to hold Collateral, <br />and regardless of the value thereof, Guarantors and each other <br />person liable on or in respect of the Obligations shall be and <br />remain jointly and severally liable for the payment in full, <br />including principal and interest, of any balance of the Obligations <br />and expenses hereunder at any time unpaid. <br />(b) GQARANTORS AND LENDER WAIV8 ALL AIGHTB TO TRIAL HY <br />JIIRY IN ANY ACTION OR PROCEEDING INSTITIITED HY EITHER OF THEM <br />AGAINST THE OTHER ARISING ON, OOT OF OR BY REASON OF THIS <br />AGREEMENT, THE GIIARANTY, THE OTHER FINANCING AGREENENTB, THE <br />OBLIGATIONS, THE COLLATERAL, ANY ALLEGED TORTIOIIB CONDIICT HY EITHER <br />PARTY HERETO OR ZN ANY WAY ARISING OQT OF OR RELATED TO THE <br />RELATIONSHIP BETWEEN GIIARANTORB AND LENDER OR BORROWER AND LENDER. <br />IN NO EVENT WILL LENDER BE LIABLE FOR L08T PROFITS OR OTHER SPECIAL <br />OR CONBEQIIENTIAL DAMAGES. <br />(c) Guarantors waive all rights to interpose any claims, <br />defenses, deductions, setoffs or counterclaims of any kind, nature <br />or description in any action or proceeding instituted by Lender <br />with respect to this Agreement, the Guaranty, the other Financing <br />Agreements, the Obligations, the Collateral or any matter arising <br />therefrom or relating hereto or thereto. <br />(d) Each of Guarantors hereby expressly submits and <br />irrevocably consents in advance to the non-exclusive jurisdiction <br />of the Superior Court of Los Angeles County, California and the <br />United States District Court for the Central District of California <br />in connection with any action or proceeding arising out of or <br />relating to this Agreement, the Guaranty, the other Financing <br />Agreements, the Obligations, the Collateral or any document or <br />instrument delivered pursuant hereto or thereto and the Courts of <br />any State in which any of the Collateral is located and of any <br />Federal Courts located in such States in any such action or <br />proceeding. Each of Guarantors hereby waives personal service of <br />the summons and complaint or other process or notice of motion or <br />other application or gapers issued therein, and agrees that the <br />service of such summons and complaint or other process or papers <br />may be served: (i) inside or outside the State of California by <br />registered or certified mail, return receipt requested, addressed <br />to Guarantors at the chief executive offices set forth below and <br />service or notice so served shall be deemed complete five (5) <br />business days after the same shall have been posted or (ii) in such <br />other manner as may be permissible under the rules of said Courts. <br />- 19 - <br />
