c. It is not required to obtain any third party consent to this <br />Agreement which it has not already obtained. <br />d. Its execution of this Agreement and the performance of its <br />duties and obligations hereunder will not and do not violate the terms <br />of any other agreement, written or oral, to which it is bound, and <br />there are no agreements with third parties affecting or otherwise per- <br />taining to the subject matter hereof. <br />e. MI VIDA shall comply with all laws and it assumes full and <br />complete responsibllity for any and all obligations and liabilities of any <br />and every nature whatsoever pertaining to or arising from the breach <br />or violation of any laws that occurs or arises from actions, inactions or <br />other activities during the term hereof. <br />f. It shall protect, defend, indemnify and hold COM, INC. harm- <br />less from and against any and all actions, claims, demands, damages <br />and liabilities arising from or pertaining to a breach of MI VIDA's <br />warranties, representations, covenants or obligations under this <br />Agreement. <br />25. Notices <br />a. Any notice required hereunder regazding exercise of the <br />priority milling shall be in writing and may be hand-delivered to the <br />Mill Superintendent at the Mill site or COM, INC.'s local office. <br />b.
