this Agreement derived from its ownership interest in that entity <br />commonly known as Gold Hill Ventures, Inc. <br />c. COM, INC. may assign its rights and obligations hereunder <br />only in conjunction with a sale or transfer of the Mill, it being the <br />intent of the parties that this Agreement run with the title to the Mill <br />during the term hereof. <br />18. Binding Effect <br />This Agreement shall be binding upon the heirs, personal repre- <br />sentatives, successors, and assigns of the parties hereto. If any pro- <br />vision hereof is found by a court of competent jurisdiction to be void or <br />unenforceable, it shall in no way affect the validity or enforceability of <br />any other provision hereof, and such void provision shall be deemed <br />severed herefrom. <br />19. Titles <br />The titles of sections and paragraphs hereof are inserted for the <br />convenience of the parties and are not intended to be used in con- <br />struction of the meaning or intent hereof. <br />20. Disgute Resolution <br />a. The laws governing this Agreement shall be the applicable <br />laws of the State of Colorado. <br />b. In the event a dispute shall arise between the parties, the <br />dispute shall be submitted to binding arbitration before the American <br />Arbitration Association, Denver, Colorado. The dispute shall be heazd <br />before athree-person panel where two of the arbiters shall be tech- <br />nically qualified as experienced in mineral ore milling operations and <br />processes. The arbitration shall be in accordance with the rules <br />governing commercial arbitration. <br />c. The award of the arbitrators shall be final and binding upon <br />the parties, which award may be registered under the laws of the state <br />having applicable Jurisdiction and may be enforceable according to the <br />laws of the state having Jurisdiction over the party against whom the <br />awazd is rendered. <br />d. In the event a dispute shall arise between the parties, and it <br />shall be arbitrated as provided herein, the prevailing party, in addition <br />to the award made and all other remedies, shall be entitled to recover <br />16 <br />
