In that meeting we agreed [o provide you <br />wi[h a 5-year tern access easement on Mountain Coal's lands in exchange for ashort-tern <br />easement for explora[ion on your lands. ?. "notincation of sale" was agreed to be added to the <br />easemenc. We agreed to contract the drill site and access road construction improvements and <br />reclamation on your lands with you, under the same contract terms required by l~foun[ain Coal of <br />any and all other construction contractors, eiving you some responsibility for both [he <br />construction and reclamation quality and as you said, pay the wages of your workers, wi[h a <br />reasonable pront. As we discussed, what berer way to ensure that the construction and <br />reclamation meets your expec[ations, than for you to be contracted to do it yourself ,~ 5;000.00 <br />advance payment on that contract was agreed upon. We also discussed that [he explora[ion <br />program could end at one drill hole on your properly or there could be as many as six. <br />We received your fax with your comments on the construction and easement agreements. ?,ffer <br />consideration of your comments by legal counsel, Kathy and myself, we have prepared the anal <br />agreements attached. iVlany, but not all of your comment; were incorporated. Some comments <br />and agreement text were reworded for clarification before incorporation. <br />As Kathy had mentioned during your telephone conversation earlier today, the construction <br />contract form is standard for all our contractors, and the provisions under this contract provide <br />;Mountain Coai [he necessary contractual protections. Changes to the work acceptance and <br />payment schedules, as well as a waiver of bonding requirements are acceptable, but [he total <br />ornission of work guarantees and ;Vfountain Coal's right to terminate the contract are not. The <br />language to these sections have, however, been revised somewhat to reflect your verbal <br />corments to Kathy. _ <br />
