Lessor for such amounts in the event that the Lessor shall be so required to pay such <br />amounts. If either party receives tax notices, schedules or declarations pertaining to taxes <br />which aze in whole or in part the responsibility of the other party, such documents shall <br />promptly be forwazded to the other party. <br />19. Assienrrtent and Subleasing. Tenant shall not assign or sublease the Leased Premises or any <br />portion thereof or interest therein or subcontract any operations in connection with the <br />Asphalt Plant or Sand and Gravel Operations to any party without Lessor's prior written <br />consent, which shall not be unreasonably withheld. Transfer of ownership or control of <br />Tenant to any party shall be deemed an assignment or sublease in violation of this Section. <br />Any assignment or sublease in violation of this Section shall be void. Lessor's rights <br />hereunder shall be freely assignable without Tenant's consent. <br />20. Site Access and Maintenance. Tenant shall be responsible for maintenance of the access <br />road(s) within Lessor's Property to the Plant Site and the site of Sand and Gravel operations. <br />Tenant shall be responsible for fencing or otherwise providing security for Lessor's Property, <br />including the Plant Site, and shall control all gates and locks necessary for access to Lessor's <br />Property. Tenant's dudes hereunder are limited to the duty of reasonable care a landowner <br />would use in maintaining and protecting its own property, and Tenant shall not be deemed an <br />insurer or guarantor of the security of Lessor's property or to have a fiduciary relationship <br />with Lessor.Tenant may not access the premises from County Road 305. <br />21. Notice.
