<br />THiS DEED made by Larry R. Leimveber, as Personal Representative of the Estate of Mary E. Leinweber,
<br />uikla Mary Evelyn Leimveber, Deceased, Grantor, to Mineral Reserves, Inc., a Colorado corporation, Grantee,
<br />whose address is 1400 W. 64°i Avenue, Denver, CO 60221
<br />WHEREAS, Mary E. Leinweber died testate on March 10, 1999;
<br />WFTERE.AS Grantor was appointed as Personal Representative, in Wcld County District Court,
<br />Probate Case ,-:99-PR-IO^_ on March 22, 1999;
<br />THEREFORE, for the consideration of "fen dollars ($t0.00) and other good and valuable consideration,
<br />Grantor sells and conveys to Grantee, Grantor's interest in the following real property in Weld County,
<br />Colorado:

<br />TOGETHER IVITH all minerals and mineral rights, sand and eravel and sand and gravel rights, oil and gas
<br />and oil and gas rights, coal and coal rights owned by Grantors, all rights of Grantors in and to existine oil and
<br />gas wells and leases and other leases affecting the above-described premises ("Premises"); all rights-of-way
<br />and easements owned or used by Grantors in connection with the Premises; all structures, fixtures, houses,
<br />buildings, pwttps, wells, irrigation improvements and other improvements on the Premises and all other
<br />property ri gh[s appurtenant thereto; and except as otherwise provided herein, all water rights appurtenant to or
<br />used or usable in connection with thz Premises, including all ditches and ditch rights, wells and well rights;
<br />reservoirs and reservoir and storage rights; all non-Tributary or tributary groundwater underlying the Premises
<br />whether arljudicatetl or not, whether permitted or not; together with any and all structures and improvements
<br />and related facilities used for the diversion of such rights, such as headgates or other diversion structures,
<br />pumps, pipelines and measuring devices; well permits, shares of stock in any ditch or reservoir company and
<br />leases and any other rights of use oC any ditch andlor reservoir water rights Cor water used upon and
<br />appurtenant to the Premises; provided, however, there is expressly excepted from this Deed all of Grantors'
<br />right, title and interest in the water rights represented by 1.75 shares of the Bt'ighton Ditch Company,
<br />evidenced by Curlificate Nos. 166, 168 and 223 (replacement for lost Certificate No. 167), such shares being
<br />the subject of a separate Water Rights Purchase Agreement between the Grantors and Grantee.
<br />Grantor warrants title to above-described premises against all persons claiming under Grantor, except as to
<br />those matters set forth in Exhibit A attached hereto and incorporated by reference.
