Box 866, Crreeley, <br />Colorado 80631 ("Assignor"), D & S Mining, [nc., a Colorado corporation, the <br />addresses of which, for purposes of this Agreement are c/o Freda Lee Dreiling, 4025 <br />Weld County Road 23, Fort Lupton, Colorado 80621 and c/o Myrna R. Slabaszewski, <br />11471 Weld County Road 10, Fort Lupton, Colorado 80621 ("Landlord"), Preda Lee <br />Dreiling, the address of whom, for purposes of this Agreement, is 4025 Weld County <br />Road 10, Fort Lupton, Colorado 80621 ("Dreiling"), Ron Richardson, the addresses of <br />whom, for purposes of this Agreement are 29680 Weld County Road 57, P.O. Box <br />866, Greeley, Colorado 80631("Richardson"), and Gordon Bartz, the addresses of <br />whom, for purposes of this Agreement are 29680 Wald County Road 57, P.O. Box <br />866, Greeley, Colorado 80631 ("Bartz"). Richardson and Bartz may occasionally he <br />hereinafter referred to as the "Guarantors". <br />RECITALS <br />A. WHEREAS, Assignor entered into that terrain Lease Agreement dated <br />August I5, 1996 in which the Landlord is the Landlord and the Assignor is the Tenant, <br />and, in which the Landlord granted to the Assignor the right to mine for gravel on <br />certain reel property located in Weld County, Colorado ("D & S Lease"); and <br />B. WHEREAS, by a certain Addendum to Lease Agreement dated October <br />17, 1996, Assignor obtained aright-of-way and batch plant lease across and on reel <br />property adjoining the real property which is [he subject of the D & S Lease from <br />Freda Lee Dreiling ("Dreiling Lease"), and <br />C. WFiEREAS, Richardson, a principal in the Assignor, was also named in <br />the Dreiling Lease as a tenant; and <br />D. WHEREAS, The D & S Lease and Dreiling Lease may herein after be <br />collectively referred to as the "Leases"; and <br />E. WHEREAS, Assignor and Richardson desire to assign the Leases to <br />Assignee on the terms and conditions set forth herein; and <br />P. WI~EREAS, Assignee desires [n assume the leases nn the terms and <br />conditions set for herein; and <br />
