<br />THIS DEED made by Larry R. Leinweber, az Personal Representative of the Estate oC Mary E. I.einweber,
<br />a/k/a Mary Evelyn Leinweber, Deceased, Grantor, to Mineral Reserves, Inc., a Colorado corporation, Grantee,
<br />whose address is 1400 W. 64'" Avenue, Denver, CO 80221
<br />WHEREAS, Mary E. Leinweberdied testate on March 10, 1999;
<br />WHEREAS Grantor waz appointed as Personal Representative, in Weld County District Court,
<br />Probate Case N99-PR-102 on March 22, 1999;
<br />THEREFORE, for the consideration of- and other good and valuable consideration,
<br />Grantor sells and conveys to Grantee, Grantor's interest in the following real property in Weld Cotmty,
<br />Colorado:

<br />TOGETHER WITH all minerals and mineral rights, sand and gravel and sand and gravel rights, oil and gas
<br />and oil and gas rights, coal and west rights owned by Grantors, all rights of Grantors in and to existing oil and
<br />gas wells and leases and other leases affecting the above-0escribcd premises ("Premises"); all rightsof--way
<br />and easements owned or used by Grantors in connection with the Premises; all structures, fixtures, houses,
<br />buildings, pumps, wells, irrigation improvements and other improvements on the Premises and all other
<br />property rights appurtenant therUO; and except as otherwise provided herein, all water rights appurtenant to or
<br />used or usable in connection with the Premises, including all ditches and ditch rights, wells and well rights;
<br />reservoirs and reservoir and storage rights; all non-tributary or tributary groundwater underlying the Premises
<br />whether adjudicated or not, whether permitted or not; together with any and all structures and improvements
<br />and related facilities used for the diversion of such rights, such az headgates or other diversion structures,
<br />pumps, pipelines and measuring devices; well permits, shares of stock N any ditch or reservoir company and
<br />leases and any othu rights of use of any ditch and/or reservoir water tights for water used upon and
<br />appurtenant to the Premises; provided, however, ttrere is expressly excepted from this Deed all of Grantors'
<br />right, title and interest in Ore water rights represented by I.75 shares of the Brighton Ditch Compa»y,
<br />evidenced by Certificate Nos. 166, 168 and 223 (replacement for lost Certificate No. 167), such shares being
<br />the subjeU of a separate Water Rights Purchase Agreement between the Grantors and Grantee.
