12. Lessee agrees to indemnify, hold harmless, and defend Company from and <br />against any and ali actions or causes of action, claims, demands, liabilities, loss, damage <br />or expense of whatsoever kind or nature, including attorneys fees, which Company may <br />suffer or incur by reason of bodily injury, including death, to any person or persons, or by <br />reason of damage to or destruction of any property, including the loss of use thereof, <br />arising out of or in any manner connected with the exercise of the rights herein granted, <br />or which Company may sustain or incur in connection with any litigation, investigation, <br />or other expenditures incident thereto, including any suit instituted to enforce the <br />obligation of this agreement of indemnity, due in whole or in part to any act, omission, or <br />negligence of Lessee or any of its representatives or employees. In the event the injuries, <br />including death or damages, are due to the sole negligence of Company or its <br />representatives or employees, then and only then Lessee shall not be liable under the <br />provisions of this pazagraph. <br />13. Lessee agrees to obtain insurance at its expense to cover its indemnity and <br />insurance obligations hereunder, which shall be in an amount not less than $500,000 for <br />bodily injury including death, to any one person and subject to the same limit for any one <br />person, not less that $1,000,000 for any one occurrence and not less than $500,000 for <br />damage to or destmction of property, including the loss of use thereof, for any one <br />occurrence and subject to the same limit for any one occurrence, an aggregate amount not <br />less than $1,000,000. <br />The insurance shall reference comprehensive public liability insurance, <br />covering bodily injury, death and property damage, and Lessee is required to maintain <br />fire and extended coverage legal liability insurance. <br />Lessee shall, at all times during the Lease term, maintain workers' <br />compensation insurance to comply with the applicable laws of the State of Colorado. <br />Lessee shall furnish to Company a certificate from Lessee's insurance carrier <br />acceptable to Company, that a policy of insurance has been issued by it to Lessee <br />providing for the indemnity insurance and that such policy is in force. Such certificate <br />shall: <br />A. State that the insurance carrier will give Company fifteen (15) days prior <br />written notice of any cancellation of or material change in such policy; <br />B. Quote in full the agreement of indemnity set forth herein as evidence of <br />the type of contractual liability coverage furnished. <br />C. Certificate Holder's name shall read: American Electric Power <br />Company, Inc. and its subsidiaries, American Electric Power Service Corp., as agent <br />(AEP). <br />If the certificate mentioned above recites that it is subject to any <br />exceptions wntained in the policy of insurance, such exceptions shall be stated in full in <br />
