WNIT[ <br />P[OOT J.ANO[RlON <br />In response to your letter of April 14, 1986, please <br />be advised that the Allens' offer stated on page 2 is not <br />acceptable to Grand Mesa Properties Company ("GMPC") and Blue <br />Ribbon Coal Company ("BRCC"). We believe that the Allens have <br />been fully compensated to the extent contemplated in the <br />Purchase Agreement of December 31, 1975. GMPC and BRCC have an <br />alternative proposal, which is described below following an <br />explanation of its basis. <br />As you know, the Blue Ribbon Mine is comprised of <br />three parcels. The first is the approximately 160 acres of <br />coal rights reserved by the Allens in the Warranty Deed of <br />March 15, 1956. All mineable coal has been extracted from this <br />parcel. The original mine portal was located on this tract at -- <br />the time of the 1975 Agreement, but was abandoned prior to <br />GMPCS' acquisition of the mine in 1981. <br />The other parcels are two subleases of Federal Coal <br />Lease No. C-033301 from the lessee, United States Steel <br />Corporation. Sublease I covers the easternmost 184 feet of Lot <br />19 and all of Lots 20 and 21 in Section 35 of T. 12 S., R. 91 <br />W., 6th P.M., totaling approximately 80 acres. It was <br />originally granted to Sunflower Energy Corporation on July 28, <br />1976, then assigned to the Blue Ribbon Limited Partnership <br />(unaffiliated with BRCC) on September 19, 1977, and further <br />assigned to GMPC'on September 17, 1981. As required by Section <br />29(i) of the original federal coal lease, Section 19 of the <br />Coal Lease Readjustment dated July 1, 1980, and 43 C.F.R. <br />Subpart 3453, the sublease and subsequent assignments thereof <br />were approved by the Bureau of Land Management ("BIM") <br />effective December 1, 1976, February 1, 1978 and August 1, <br />1982, respectively. <br />Obj.
