O. Box 2065, <br />Grand ,Tnnc-tinn. Cnlnrado 8150 _("Permittee") permit number <br />80-55 (the 'Permit") pursuant to which Pennittee has been conducting a <br />mining and reclamation operation in the County of San Miguel State of <br />Colorado. <br />B. Pennittee wishes to assign the permit to Umetco Minerals Corporation <br />, address, P. O. Box 1029, Grand Junction, <br />Colorado 81502 as Successor Operator ('Successor") <br />ano successor wtsnes o oecome uccessor ermittee under the permit. <br />C. Successor understands that the reclamation plan (the "Plan") <br />required oy the permit antl Dy applicable State laws and regulations has not <br />peen completed and is willing to assume full responsioility for the completion <br />of the P]an. <br />I I. <br />AGREEMENTS <br />Pennittee and Successor hereoy agree, for their own benefit ano for the <br />oenefit of the Late, such agreements to oe effective ipso facto upon the <br />approval oy the State of the transfer of the Permit from Pennittee to <br />Successor, as follows: <br />1. Successor has inspected the mining and reclamation operations to its <br />entire satisfaction and is fully aware of the condition thereof. Successor <br />understands and accepts all of the conditions of the Permit. <br />2. Successor will complete the reclamation plan, and hereoy assumes <br />liaoility for completing such plan as to all areas heretofore disturbed, as <br />well as [o all areas hereafter disturbed.
