264 title matters (including, without limitation, rights of fast refusal, and options) not shown by the public records of which Seller
<br />270 has actual knowledge. Buyer shall have the right to inspect the Property to determine if any third party has any right in the
<br />271 Property no[ shown by the public records (such as an unrecorded easement, unrecorded lease, or boundary line discrepancy).
<br />272 Written notice of any unsatisfactory condition disclosed by Seller or revealed by such inspection, notwithstanding § 12, shall
<br />273 be signed by or on behalf of Buyer and given to Seller on or before Off-Record Matters Objection Deadline (§ 2c). If Seller
<br />274 does not receive Buyer's notice by said date, Buyer accepts title subject to such rights, if any, of thud parties of which Buyer
<br />275 has actual knowledge.
<br />276 c. Survey Review. Buyer shall have the right to inspect Survey. If written notice by or on behalf of Buyer of any
<br />277 unsatisfactory condition shown by Survey, notwithstanding § 8b or § 12, is received by Seller on or before Survey Objection
<br />278 Deadline (§ 2c) then such objection shall be deemed an unsatisfactory title condition. If Seller does no[ receive Buyers notice
<br />279 by Survey Objection Deadline (§ 2c), Buyer accepts Survey as satisfactory.
<br />280 d. Special Taxing Districts. SPECIAL TAXIING DISTRICTS MAY BE SUBJECT TO GENERAL OBLIGATION
<br />281 INDEBTEDNESS THAT IS PAID BY REVENUES PRODUCED FROM ANNUAL TAX LEVIES ON THE
<br />282 TAXABLE PROPERTY WITIIIIV SUCH DISTRICTS. PROPERTY OWNERS IN SUCH DISTRICTS MAY BE
<br />283 PLACED AT RISK FOR INCREASED MILL LEVIES AND EXCESSIVE TAX BURDENS TO SUPPORT THE
<br />284 SERVICING OF SUCH DEBT WIINRE CIItCUMSTANCES ARLSE RESULTING IN THE INABILITY OF SUCH
<br />285 A DISTRICT TO DLSCHARGE SUCH INDEBTEDNESS WITHOUT SUCH AN INCREASE IN MILL LEVIES.
<br />286 BUYER SHOULD INVESTIGATE THE DEBT FINANCING REQiJIItEhiFN15 OF THE AUTHORIZED GENERAL
<br />287 OBLIGATION INDEBTEDNESS OF SUCH DISTRICTS, EXISTIIYG MILL LEVIES OF SUCH- DISTRICT
<br />288 SERVICING SUCH INDEBTEDNESS, AND THE POTENTIAL FOR AN INCREASE IN SUCH MILL LEVIES.
<br />289 In the event the Property is located within a special fazing district and Buyer desires to terminate this contract as a result,
<br />290 if written notice is received by Seller on or before Off-Record Matters Objection Deadline (§ 2c), this contract shall then
<br />291 terminate. If Seller does not receive Buyer's notice by such date, Buyer accepts the effect of the Property's inclusion in such
<br />292 special taxing district and waives the tight [o terminate.
<br />293 e. Right to Object, Cure. Buyer's right to object shall include, but not be limited to those matters listed in § 12. If
<br />294 Seller receives notice of utunerchantability of title or any other unsatisfactory title condition or commitment terms as provided
<br />295 iti subsections 8 a, b, c and d above, Seller shall use reasonable efforts to correct said items and beaz any nominal expense to
<br />296 correct the same prior to Closing. If such unsatisfactory title condition is not corrected to Buyer's satisfaction on or before
<br />297 Closing, this contract shall then terminate; provided, however, Buyer may, by written notice received by Seller on or before
<br />298 Closing, waive objection to such items.
<br />299 L Title Advisory. The Title Documents affect [he title, ownership and use of the Property and should be reviewed
<br />300 carefully. Additionally, other matters not reflected in the Title Documents may affect the title, ownership and use of the
<br />301 Property, including without limitation boundary lines and encroachments, area, zoning, unrecorded easements and claims of
<br />302 easements, leases and other unrecorded agreements, and various laws and governmental regulations contenting land use,
<br />303 development and environmental matters. The surface estate may be owned separately from the underlying mineral estate,
<br />304 and transfer of the surface estate does not necessarily inclnde transfer of the mineral rights. Third parties may hold
<br />305 interests in oil, gas, older mfnerats, geothermal energy or water on or under the Property, which interests may give them
<br />306 rights to enter and use the Property. Such matters maybe excluded from the title insurance policy. Buyer is advised to timely
<br />307 consult legal counsel with respect to all such matters as there are strict time limits provided in this contract (e.g., Title
<br />308 Objection Deadline [§ 2cJ and Otl'•Record Matters Objection Deadline [§ 2c]).
<br />309 9. LEAD-BASED PAINT. Unless exempt, if the improvements on the Property include one or more residential dwellings
<br />310 for which a building permit was issued prior to January 1, 1978, this contract shall be void unless a completed Lead-Based Paint
<br />3 t 1 Disclosure (Sales) form is signed by Seller and the required real estate licensees, which must occur prior to the parties signing
<br />312 this contract
<br />313 10. PROPERTY DISCLOSURE, INSPECTION AND INSURABILITY; BUYER DISCLOSURE. On or before
<br />3t4 Seller's Property Disclosure Deadline (§ 2c), Seller agrees to provide Buyer with a written disclosure of adverse matters
<br />315 regazding the Property completed by Seller to the best of Sellet's current actual knowledge.
<br />316 a. Inspection Objection Deadline. Buyer shall-have the right to have inspections of the physical condition of the
<br />317 Property and Inclusions, a[ Buyer's expense. If [he physical condition of the Property or Inclusions is unsatisfactory in Buyer's
<br />318 subjective discretion, Buyer shall, on or before Inspection Objection Deadline (§ 2c):
<br />319 (1) notify Seller in writing that this contract is terminated, or
<br />320 (2) provide Seller with a written description of any unsatisfactory physical condition which Buyer requires Seller
<br />321 [o correct (Notice to Conec[).
<br />323 If written notice is not received by Seller on or before Inspection Objection Deadline (§ 2c), the physical condition of
<br />324 [he Property and Inclusions shall be deemed to be satisfactory to Buyer.
