If the transfer to Arch Coal, lnc. will be included in this application, <br />please address ownership and control information requirements /or Aroh <br />(Sections 2.03.1(1)(sic], (2), (3) and (4). <br />All ownership and control information indicated in the identified sections <br />(including Sections 2.03.4, et seq.) will be forwarded to you under <br />separate cover directly from Arch. <br />5. Jf the transfer to Arch Coal, Inc. will be included in this application, a new <br />certificate of insurance will be required, as the current certificate names <br />ARCO and its subsidiaries as insured (Section 2.03.9). <br />Enclosed herewith are 1) a certificate of liability insurance, and 2) a coal <br />reclamation bond procured by Arch on behalf of MCC, LLC. <br />6. MCC needs to transfer all other permits for the West Elk Mine to MCC, <br />LLC (or Arch), and include a list of the transferred permits and any other <br />permits held by MCC, LLC (or Arch) (Section 2.03.10). <br />Under separate cover from Ed Hams, Holland & Hart, you will receive a <br />list of permits which will be transferred from MCC to MCC, LLC. Again, <br />no direct transfer to Arch is contemplated. <br />7. If the transfer to Arch will not include the entity MCC, LLC as the <br />permittee, the proposed newspaper advertisement should be revised <br />accordingly. <br />As discussed with Dave Beny, the transfer will be from MCC to MCC, <br />LLC. Hence, the proposed newspaper advertisement appears accurate <br />and without need of revision. <br />MCC very much appreciates all the help and cooperation you have provided in this <br />process.
