<br />AND SALE DEED
<br />THIS DEED, made this JI day of December, 2003, between H. W. ROGERS &
<br />ASSOCIATES LLC, a Colorado limited liability company formerly H. W. ROGERS &
<br />ASSOCIATES, LLP, a Colorado limited liability partnership, County of Larimer, State of
<br />Colorado ("Grantor"); and LAFARGE WEST, INC., a Delaware corporation, formerly Westem-
<br />Mobile Northern, Inc., a Delawaze corporation, the address of which is 1400 West 64`h Avenue,
<br />Denver, Colorado 80221, County of Denver, State of Colorado ("Grantee").
<br />WITNESSETH, that the Grantor, for good and valuable consideration, the receipt and
<br />sufficiency of which aze hereby aclmowledged, as granted, bargained, sold, and conveyed, and
<br />by these presents does grant, bazgain, sell, convey, and confirm unto the Grantee, its successors
<br />and assigns Forever, all of the real property described on Exhibit "A" attached hereto and
<br />incorporated herein by reference ("the Property").
<br />The purpose of this Deed and the intent of Grantor is to grant, bargain, sell, and convey to
<br />Grantee all of Grantor's right, title, and interest in and to all minerals and mineral rights, and the
<br />rents, issues, and profits therefrom, reserved by Grantor in that certain Warranty Deed recorded
<br />June 30, 1999, at Reception Numbei 99057962 in the Larimer County, Colorado Records.

<br />the Grantee's successors and

<br />IN WITNESS WHEREOF
