~®PY :~,~ . ,~s <br />S i~ ,--~, ~i,~I zj i O 2 <br />~~ i ~'t 'L' 2 P>,CIRCHASE AND SALE AGREEMENT V " _ <br />This Purchase and Sale Agreement ("Agreement") is made and entered into as of the 3RD <br />day of July, 2002 (the "Effective Date") by and between MORE FAMILY RANCHES, LLC, a <br />Colorado limited liability company ("Seller"), whose address is 41890 Routt County Road 38A, <br />P.O. Box 770894, Steamboat Springs, Colorado 80477, and LAFARGE WEST, INC., a <br />Delaware corporation, whose legal address is P.O. Drawer 368, Glenwood Springs, Colorado <br />81602 ("Purchaser" or "Buyer"). <br />Recitals <br />A. Seller is the owner of a certain parcel of real property located in Routt County, <br />Colorado; and <br />B. Seller desires to sell to Purchaser and Purchaser desires to purchase from Seller <br />the parcel on the terms and conditions set forth in this Agreement. <br />NOW, THEREFORE, in consideration ofthe purchase price stated in this Agreement and <br />the following mutual covenants and agreements, the parties agree as follows: <br />Agreement <br />ARTICLE I. <br />DEFINITIONS <br />1.1 Defined Terms. In addition [o terms defined elsewhere in this Agreement the <br />following definitions shall apply: <br />(a) "Closing" means the consummation of the purchase of the Subject <br />Property as contemplated by this Agreement. <br />(b) "Closing Agent" means the employee or representative appointed by the <br />Title Company to effect the Closing hereunder. <br />(c) "Closing Date" means the date 60 days after Permit Approval at which <br />time the Closing is to occur, subject to adjustment pursuant to this Agreement. <br />(d) "Permit Approval" means the date on which Purchaser has received <br />written notification from the applicable governmental authorities that all of the Required Permits <br />have been received. <br />REtCE!l~E~ <br />APR 0 42003 ~ ,mot <br />Givision of Minerals end GeoloBV ~it/ -O jr <br />_~ <br />
