ENCUMBRANCES: Lessor covenants that there are no liens or encumbrances or <br /> taxes due on the demised premises. <br /> If there is a mortgage, trust deed, or other lien on all or any part of the demised <br /> premises, Lessor agrees to make all payments required thereunder and to fully perform all <br /> conditions of the same. If Lessor fails to make any such payment, Lessee shall have the <br /> right to make the same and deduct it from any subsequent payment otherwise due <br /> hereunder to Lessor. <br /> TAXES AND ASSESSMENTS: Lessor agrees to pay promptly all taxes and <br /> assessments levied against the demises premises or any part thereof during the entire term <br /> of thi3 Lease, except such as are attributable to mining operations conducted by Lessee <br /> on such property. If Lessor fails to make such payments, or if there are any taxes or <br /> encumbrances now due on such real property or any part thereof, Lessee may pay the <br /> same and any penalties thereon, or redeem such property from tax sale, and deduct the <br /> amount expended from any royalties thereafter accruing. <br /> CONFLICTS WITH OIL AND GAS AND OTHER MINERAL LEASES: The <br /> rights granted to Lessee hereunder do not include mining rights with the respect to oil, <br /> gas, and other minerals. However, Lessor agrees that any operations to remove oil, gas, <br /> or other minerals shall not interfere with mining operations of Lessee, except as provided <br /> in any existing Leases, and Lessee is hereby given sole reasonable discretion to determine <br /> whether or not such operations interfere with or will interfere with the mining operations <br /> of Lessee. <br /> INCIDENTAL PROVISONS: At the termination of this Lease, either at the end <br /> of the term or by cancellation or surrender prior thereto, Lessee shall have the right to <br /> remove: all of Lessee's buildings, structures, machinery, equipment, and other property <br /> from any part of the demised premises within sixty days thereafter. <br /> The terms and provisions of this Lease shall be binding on and inure to the benefit <br /> of the parties, there heirs, legal representatives, successors and assigns. <br /> Lessee shall not assign this Lease to any person, firm or corporation without the <br /> prior written consent of Lessor. <br /> Lessee shall comply with all applicable laws, including reclamation, and obtain <br /> all necessary permits. <br /> All notices may be served in person, or may be given by registered or certified <br /> mail, return receipt requested, postage prepaid, addressed to the party at the last known <br /> address and payments may be made by Lessee's check mailed to Lessor's address until <br /> Lessor shall notify Lessee of a change of address. <br /> 3 <br />
