/ 2. In order to realize the proceeds, the Bank will conduct a <br /> V conmercialy reasonable sale of the items of personal property. <br /> 3. A ccamercially reasonable sale shall be accomplished by a <br /> public auction or the Bank's private sale of the property to third <br /> parties if the Bank believes that such a sale would be more advantageous <br /> than an auction. <br /> 4. The items of personal property to be sold by the Bank <br /> include equipment, inventory, tools, and shop equipment. An itemized <br /> inventory of the items to be sold will be provided to the Trustee prior <br /> to sale. <br /> S. The proceeds of the sale will be placed in an escrow ac- <br /> count at the First National Bank of Denver pending the adjudication of <br /> claims the Banks and the Trustee may have to the proceeds. <br /> 6. All costs incurred by the Bank with respect to insurance, <br /> maintenance, protection, costs incurred with respect to the auction, <br /> v-nterizing of vehicles, and any acts the Bank believes are required to <br /> protect the value of the property shall be paid to the Bank from the <br /> proceeds prior to any payments made to creditors or other parties as a <br /> cost of administration. The Bank is to be paid first regardless of <br /> the outcome of any dispute between the Bank and the Trustee as to se- <br /> curity inte,•asts subject to a determination by the Court upon application <br /> of the reasonableness of such costs. <br /> 7. The Trustee agrees to pay to the Bank or any independent <br /> auctioneer or br,)ker an additional fee of 10% of gross sales for all <br /> property sold by the Bank or its agents and approval of this Stipulation <br /> by the Court shall also be deemed authorization to hire the Bank or its <br /> agent as a professional person for such purpose. <br /> 8. Within sixty (60) days of this Stipulation, the Bank agrees <br /> to make application for relief from stay and possession of its secured <br /> property- <br /> DATED THIS day of November, 1981, Denver, Colorado. <br />
