5 <br />IX. Amendments <br />Amendments to this Agreement may be proposed by either party, and shall become <br />effective only upon being reduced to a written instrur:ent executed by both <br />parties. <br />X. Termination <br />This Agreement may be terminated by either party upon 90 days written notice to <br />the other. Upon receipt of such written notice, the Foundation will provide an <br />accounting of remaining funds and outstanding contractual obligations of funds. <br />In the case of termination, the Serv~..~ will make arrangements for transferring <br />the funds administered by the Foundat:..n to another entity, or renegotiate an <br />altern+itive agreement with the Foundation. <br />XI.
