<br />charges of Contractor. The Contract Price shall be the maximum amount payable to <br />Contractor for the Work (including all hourly charges, all expenses, and all profit), unless <br />Contractor has requested and BMRI has authorized in writing an increased amount. <br />Should Contractor anticipate exceeding the total Contract Price or any of the <br />line items set forth in the Scope of Work, it shall notify both DMG and BMRI in writing <br />and request a Change Order stating in detail the basis therefor and Contractor's best <br />estimate of the number of hours and additional expenses the Contractor will require to <br />complete the Work. If a request is made but not accepted, Contractor shall not be <br />obligated to continue providing services once the authorized amount has been expended, <br />unless BMRI, after consulting DMG, notifies Contractor that the requested increased <br />amount is not authorized because Contractor performed its services improperly. In such <br />event, BMRI, after consulting with DMG, shall state its reasons and the parties shall use <br />their best efforts to negotiate a resolution to the matter as soon as possible. If BMRI and <br />Contractor agree upon a modification to such Contract Price, a Change Crrder shall be <br />issued with respect thereto. If the parties do not agree upon a modification, this Agreement <br />shall terminate pursuant to Article 8 of this Agreement. <br />3.2 Contractor shall submit an invoice monthly to BMRI at the address set forth <br />in Article 11 herein for the Work performed and the charges for such Work in the preceding <br />month.
