19. Insurance. Lessee shall obtain and maintain during the term hereof workers' <br />compensation insurance; employer's liability insurance with a minimum limits of not less than <br />$1,000,000 each accident; automobile liability insurance with minimum limits of not less than <br />$1,000,000 combined single limit per occurrence; and general liability insurance with minimum <br />limits of not less than $1,000,000 single limit per occurrence. The general liability insurance <br />shall cover Lessee, Lessee's agents, employees, and contractors and, shall name Lessor as an <br />additional insured. <br />20. Bindine Effect. This Lease and all its terms, conditions and stipulations shall <br />extend to and be binding on all successors and permitted assigns of the parties. <br />21. Govemine Law: Venue. This Lease and its interpretation and all disputes <br />pertaining thereto (other than disputes to be settled by azbitration pursuant to subparagraphs 5(1) <br />through (o), above) or to any issue in respect of the performance ornon-performance of this <br />Lease shall be governed by the laws and decisions of courts of the State of Colorado. Any action <br />or proceeding at law or in equity by a party against another party to this Lease may be brought in <br />any District Court in which venue is proper under the Colorado Rules of Civil Procedure, <br />notwithstanding that venue may also be proper in the District Court for another county. <br />22. Attome~s' Fees. Except as otherwise provided herein in connection with the <br />provisions of this Lease regarding indemnification of parties, in any action or proceeding at law <br />or in equity by a party against another party to this Lease, the prevailing party shall be entitled to <br />reasonable attorneys' fees and expenses. <br />23. Depletion Allowance. The patties acknowledge that all payments made pursuant <br />to Pazagraph 6 of this Lease aze in the form of royalties and not lease, rent or production <br />payments.
