Drawer O <br />Boulder, Colorado 80306 <br />11.2 Any notice required or permitted to be given under this Agreement shall be <br />in writing and shall be deemed to have been given when hand-delivered or five (5) days <br />after such writing is deposited in the U.S. Mail, certified or registered, return receipt <br />requested, in a postage prepaid envelope addressed, to Consultant's, or DMC~'s, or BMRI's, <br />as appropriate, respective representatives as set forth in Section 11.1, above, qr to such other <br />representative as either shall designate by written notice to the other. <br />Article 12 - Nonassienment <br />I <br />12.1 BMRI has entered into this Agreement in order to receive tf~e professional <br />services of Consultant. Subject to the provisions of Article 6 hereof, Consultant will not <br />make any assignment, directly or indirectly, by operation of law, merger, acquisition, sale <br />of stock, or otherwise, of all or any portion of the Work required under t~is Agreement <br />without first obtaining the written consent of BMRI. <br />12.2 The rights and obligations of the parties hereto shall inure to the benefit of, <br />and shall be binding upon, the successors and permitted assigns of the respective parties <br />hereto. <br />-22- <br />
