Box 208 <br />Farmington, NM 87499 <br />RE: Joint Venture Known as the Coal Company <br />Gentlemen: <br />As President of La Plata Coal Corporation, I herewith advise you <br />that La Plata Coal Corporation is formally withdrawing its membership <br />from the joint venture informally known as the Coal Corporation, a coal <br />mine venture in La Plata County, Colorado. Due to recent developments, <br />the membership relationships have become strained to the point that a <br />working relationship among the current members is no longer feasible; <br />therefore, La Plata Coal is withdrawing its membership and the venture <br />is dissolved. <br />'La Plata Coal Corporation has access to sufficient funds to fully <br />repay the members' capital contributions and all the venture's credi- <br />tors. The members' contributions shall be paid in full, plus accrued <br />interest at 12X APR, to begin accrual when the contributions were <br />received. The funds will be available for disbursement on or before <br />June 15, 1987. Please contact me for an accounting of the capital <br />contribution and interest amount which shall be paid. Commensurate <br />with repayment in full, La Plata Coal Corporation must receive con- <br />veyances from the members of their various interests in the mineral <br />estates and surface estates held by any or each of the members. <br />
