Skelly Dr., Ste. 550 <br />Tulsa, Oklahoma 74135 <br />R E : 4470 <br />INE-1 i-0 <br />Dear Sir: <br />Mailing <br />Box 188 <br />Claremore, OK 74018 <br />In response to your letter of August 18, 1987, to Mr. Frank Podpechan, <br />the following is an outline of Mr. Podpechan's "involvement" with La Plata Coal <br />Corporation ("La Plata") <br />- In the latter part of 1986 Joe Carpio solicited Mr. Podpechan, and a <br />number of other potential investors, for an investment in a coal mine near <br />Durango, Colorado. <br />- In December 1986 an investor group was formed wf~ich included: <br />- Claremont Exploration, Inc., an Oklahoma oil and <br />gas company (which is 100$ owned by Mr. Podpechan); <br />- Dugan Production Corporation, a New Mexico <br />oil and gas company; and, <br />- Flag-Redfern Oil Company, a Delaware oil and gas <br />company. <br />The project wds to be undertaken as a partnership, made up of the three <br />investing companies and a corporation (la Plata) to be formed by Joe Carpio. <br />La Plata was to be the operator and permittee of the mine. (A partnership <br />agreement was never executed because of the dissension between the investors <br />and La Plata and the eventual dissolution of the partnership discussed below.) <br />- La Plata was incorporated on January 28, 1987 (see Exhibit A attached) <br />and immediately thereafter filed an application for a mining premit with the <br />MLRD in Colorado. (The recitation in the application that the investors were <br />owners of La Plata is erroneous.) From the beginning, La Plata was in <br />possession the partnership property. <br /> <br />
