THIS CONVEYANCE OF CONTRACTUAL RIGHTS TO DEVELOP SURFACE
RESOURCES ("Conveyance") dated effecrive lenuary 23, 1948, is from Gold Hill hfines, Inc.,
hT Vida Enterprises, Inc., Gold Reef Mrmng Company, Southern Cross Prospecting Company
and Mark A. Steen, whose collective address for the purposes of this conveyance is P.O. Box
1523, Longmont, Colorado 80502 (collectively "Grantor") and Golden Tontine LLC, a Calartulo
limited liability company whose address far the purpose hereof is P.O. Borr 1523, Longmont,
Colorado 80502 ("GT" or "Grantee").
RECITALS
Section 1 -Grant of Ri hts.
(a) Grsrt of Development lahts. Grantor hereby grants and conveys to
Grantee the exclusive right to devdop the Surface Resources and use the surface of and all
personal and/or real property rights associated with the Claims, to devdop the Surface
Resources, including without limitation, water rights associated with the Claims using the
methods and processes selected by Grantee in its sole discretion. Record tide Ownership of the
Claims and Surface Resources shall rootairt in the GT Members; Grantee shall only have an
exclusive contractual right to develop the Surface Resources. Proceeds from development of the

Company and Mi Vida Enterprises, Inc. (collectively, the "GT Members").
B. The GT Metnben wish to enter into this Conveyance to (i) re9ect the convtyance
to GT of an exclu.~ive contractual right to develop and to reptvicess the dump rock, tailings
anrUor other rock products (collectively, the "Surface Resources") located on the surface of
patented and unpatented mining claims located in the Gold [i-dl and Central htioing Districts,
Boulder County, Colorado, as described on Exhibit A (the "Claims"), and the right to use the
surface of the Claims to devdop the Surface Resources and (ii) grant GT an exclusive tight of
fast refusal to purcFwrse the ores, minerals, mineral substaaas and/or mineral rights ('Minerals')
under the claims and/or to conduct underground mining operations an the Claims.
NOW THEREFORE, for and in consideration of the mutual promises and covenants
herein contained, ONE H[JNDRED DOLLARS, membership interests in GT and other good and
valuable consideration the receipt and suf$ciency of which are hereby acknowledged, the parties
agree as follows:
