... <br />~..~ <br />(b) maps and drawings showing the Mining Operations carried out; <br />(c) ore reserve estimates and production data; <br />(d) books of account in compliance this Agreement; and, <br />(e) documents of title to the Property. <br />5.04 The Operator shall maintain appropriate books and accounts in accordance with <br />generally accepted accounting principles, or such other procedure as the Parties holding <br />interests aggregating more than 50% may direct in writing, showing the costs paid and <br />incurred. The acen~~n!s kept pursuant to this Agreement shall be audited annually by <br />the auditors of the Operator or such other auditors es the Operator may select. <br />5.05 The Operator shall perform its duties and obligations hereunder in a sound and <br />workmanlike manner, in accordance with sound mining, engineering and accounting <br />practices, and in compliance with this Agreement and ell applicable federal, provincial, <br />and municipal laws, bylaws, ordinances, rules and regulations and this Agreement. The <br />Operator shall require its contractors and sutrcontractors employed in Mining Operations <br />to comply with the provisions of this paragraph. <br />5.06 The Operator in its operations hereunder shall be an independent contractor and, <br />except as specifically provided in this Agreement, shall not act or hold itself out as <br />agent for any of the parties nor make any commitments on their individual behalf. <br />6. OPERATOR'S FEE <br />6.01 From the date of the Production Notice, the Operator may charge such sums es <br />compensation for its head office administration and overhead functioru as may be <br />reasonable under the circumstances and consistent with prevailing industry practice. <br />7. MINE FINANCING <br />7.01 The funding o[ all Mine Costs and 1984 Sublease requirements shall be by PRI. <br />8. OPERATION OF THE MINE <br />8.01 All Mining Operations shall be planned and conducted and all estimates, reports <br />end statements shall be prepared and made on the basis of an Operating Year. <br />8.02 With the exception of the first Operating Year, the Operating Plen for each <br />Operating Yeer shall be submitted by the Operator to the Parties not later than 60 days <br />in the year immediately preceding the Operating Year to which the Operating Plan <br />relates. Each Operating Plan shall contain with reference to the Operating Year to <br />which it relates, the following: <br />(s) a plan of the proposed Mining Operations; <br />(b) a detailed estimate of all Mine Costs plus a reasonable allowance [or <br />contingencies; <br />(c) an estimate of the quantity and quality of the ore to be mined and the <br />concentrates or metal to be produced; and, <br />6 <br />
