<br />PURCHASE AND SALE AGREEMENT <br />THIS PURCHASE AND SALE AGREEMENT ("Agreement") is made by <br />and between the City and County of Denver, acting by and through its Board of Water <br />Commissioners ("Denver" or "Buyer") and South Adams County Water and Sanitation <br />District ("South Adams"), political subdivisions of the State of Colorado and Campbell's C- <br />Ment Contracting, Inc., a Colorado corporation ("Seller"). <br />ARTICLE I <br />RECITALS <br />1.1 Denver and South Adams jointly filed a condemnation action against <br />the subject property in Adams County District Court, Case No. 98CV1625. This <br />agreement and the Consent to Rule and Order contemplated herein will settle that <br />condemnation action as to Seller. <br />1.2 Denver and South Adams have agreed among themselves that <br />Denver will be the sole buyer of the subject property, and by its execution hereof South <br />Adams consents to the agreement expressed herein between Seller and Denver. <br />ARTICLE II <br />PROPERTY AND OTHER INTERESTS <br />2.1 Buyer agrees to buy, and Seller agrees to sell, on the terms and <br />conditions set forth in this Agreement, the following described real estate in the County of <br />Adams, Colorado, described and depicted on Exhibit A attached hereto and incorporated <br />by reference; (hereinafter referred to as "the Property"), together with all interest of Seller <br />in vacated streets and alleys adjacent thereto, all easements and other appurtenances <br />thereto, all improvements thereon and all attached fixtures thereon; and together with any <br />water or water rights appurtenant thereto except those water rights listed in Exhibit B <br />attached hereto and incorporated by reference; <br />except ail mineral rights including, without limitation, rights to sand, gravel, and heavy <br />metals, which are reserved to Seller, subject to the obligation to convey all remaining <br />minerals after the year 2006 as described in the following Section 2.2. All oil and gas <br />interests in or under the Property shall be conveyed by Seller and shall not be reserved. <br />2.2 Seller's reservation of minerals shall include the right to the <br />occupation and use of the Property for the purpose of mining sand and gravel and <br />i <br />
