<br />assessed valuations (which amounts shall relate to the same tax year) shall be conclusive <br />as to the property taxes and assessments to be prorated. <br />4.6 Closing Costs. The title insurance premium shall be paid by Seller. <br />The costs of any transfer fees, transfer taxes or escrow fees and charges shall be shared <br />equally between the parties. Buyer and Seller shall sign and complete all customary or <br />required documents at or before closing. Fees for real estate closing services shall not <br />exceed $250.00 and shall be paid by Buyer and Seller equally. All closing costs shall be <br />paid by the parties in good funds at or before closing. <br />4.7 Payment of Encumbrances. Any encumbrance required to be paid <br />shall be paid at or before closing from the proceeds of this transaction or from any other <br />source. <br />ARTICLE V <br />CONDITIONS TO CLOSING <br />5.1 Buyer's Conditions. In addition to the satisfaction of the condition of <br />title set forth in Section 4.4 above, Buyer's obligation to purchase the Property is subject <br />to the fulfillment prior to the closing of each of the following conditions each of which is for <br />the benefit of Buyer and any of which may be waived by Buyer at its option: <br />a. Document Review. Buyer's review and approval of the <br />following documents and reports within thirty (30) days of the <br />date of this Agreement, which documents and reports Seller <br />shall use its best efforts to cause to be delivered to Buyer <br />contemporaneously with the execution of this Agreement, but <br />no later than ten (10) days after the date of execution of this <br />Agreement: <br />(1) Seller shall order a commitment of title insurance no <br />later than three (3) days after execution of this <br />Agreement. Seller shall provide Buyer with a current <br />ALTA preliminary title report for the Property, <br />accompanied by legible copies of all documents <br />referred to in such report, or if not available as of this <br />deadline, copies of all work completed by the title <br />company. The provision of copies shall pertain only to <br />instruments shown of record in the office of the Clerk <br />and Recorder of Adams County; <br />a <br />
