use for emergency and incidental access only and shall not include the right of use by <br />heavy trucks or equipment in connection with sand and gravel or other operations on the <br />Land. <br />(c) any right, title and interest of Seller in and to any adjoining or <br />adjacent streets, roads, or rights-of--way, all vacated alleys, streets and roads, strips and <br />gores of land adjoining the Land (other than the strip of land not less than 100 yards wide <br />abuting the northern boundazy of the Yampa River, which Seller expressly reserves the <br />specifics of which shall be mutually a,eed upon by the parties) and specifically <br />including an easement for water discharge lines and incidental access from the above <br />described land to the Yampa River, ,. <br />(d) all structures, fixtures, houses, buildings, pumps, wells, irrigation <br />improvements and other improvements on the Land, if any, and atl other property rights <br />appurtenant thereto, and <br />(e) Sufficient water and related water rights to conduct sand and <br />gravel operations, including dust suppression, and for reclamation of the Land during and <br />after completion of sand and gravel extraction and processing operations, and for a <br />substitute supply plan and/or an augmentation plan for the Land, all such water to be <br />derived from Seller's rights in the Weiskoph Ditch and the enlargement of the Weiskoph <br />Ditch in an amount not to exceed the first one cubic foot per second (1.0 cfs) out of <br />Seller's rights in the Weiskoph Ditch, which rights have a priority date of September 4, <br />1889 and a date of decree of September 20, 1906 and priority number of 83a decreed for <br />2.0 cfs and the enlazgement of the Weiskoph Ditch which has a priority date of June 1, <br />1903 and a date of decree of September 14, 1946 and priority number of 288c decreed for <br />3 cfs. <br />(such Land and related appurtenant interests being referred to as "Parcel 2"). Seller hereby '~' <br />acknowledges the sufficiency of the recited consideration. <br />2.2 Purchase and Sale.
