(f) All other charges not otherwise allocated herein properly borne by Seller <br />consistent with the terms of this Agreement or which aze normally assessed against sellers of real <br />property in accordance with current existing practices in the State of Colorado. <br />6.7 Purchaser Settlement Charges. Closing Agent shall charge Purchaser with the <br />following expenses at Closing: <br />(a) The cost of the Survey, if not paid outside of Closing; RECEIVED <br />(b) The recording fee and documentary tax for the deed; APR ~ ~ 2003 <br />(c) One-half of any county or local real estate transfer tax or fee;on of Minerets aid ceotoyy <br />(d) One-half of the closing fees charged by the Closing Agent; <br />(e) Any prorated real estate taxes and assessments charged to Purchaser which <br />have been prepaid, plus any prepaid fees for licenses or permits, if any; and <br />(f) All other charges not otherwise properly allocated herein borne by <br />Purchaser consistent with the tetras of this Agreement or which aze normally assessed against the <br />purchaser of real property in accordance with current practices existing in the State of Colorado. <br />6.8 Post Closing Activities. After closing, the Closing Agent shall deliver to <br />Purchaser the Title Policy, the recorded deed and any and all other documents recorded for the <br />benefit of Purchaser in connection with the transaction as soon as such documents become <br />available to the Closing Agent. <br />ARTICLE VII. <br />REPRESENTATIONS AND WARRANTIES OF SELLER <br />7.1 Representations and Warranties. Seller hereby represents and warrants to Purchaser <br />that, as of the date hereof: <br />(a) Except for the Litigation described in Section 5.2, there is no litigation <br />pending or threatened which in any manner affects the Subject Property; <br />(b) There are no violations of any federal, state or local law, code, ordinance, <br />rule, regulation, or requirement affecting the Subject Property including, without limitation, <br />potential liability for remediation, cleanup or removal of any mat0erials or substarices existing on <br />the Subject Property in order to comply with any existing environmental laws, rules, ordinances <br />or regulations; <br />- 11- <br /> <br />
