EXHIBIT N LEGAL RIGHT TO ENTER Title to all of the property within the Permit Boundary owned by Cripple Creek & Victor Gold Mining Company is subject to the Amended and Restated Joint Venture Agreement dated effective January 1, 1991 between Pikes Peak Mining Company and Golden Cycle Gold Corporation. The original Joint Venture Agreement was dated January 30, 1976. This agreement was superseded by the Joint Venture Agreement dated August 28, 1980. Amendments to this document were executed effective December 2, 1982, April 23, 1985, May 8, 1986, and January 1, 1987. None of these Joint Venture Agreements are recorded. Title to the properties covered by the Joint Venture was formally conveyed into the Joint Venture by the conveyances listed below. A. Legal Right to Enter Fee Property Documents that place the title to property within the Cripple Creek Mining District in the name of Cripple Creek & Victor Gold Mining Company, and thereby gives the Joint Venture the legal right to enter the property within the permit boundary, are as follows: • a) Quiet Title Decree recorded September 15, 1970, at Drawer 3, Card 932A. This Quiet Decree was modified by the Amended Quiet Title Decree dated June 13, 1986, recorded at Book 382, Page 200. b) Warranty Deed dated December 27, 1972, recorded at Drawer 8, Card 1899A. c) Mining Warranty Deed dated January 30, 1976, recorded at Drawer 18, Card 1992A. d) Joint Venture Affidavit recorded at Reception #287077, Drawer 36, Card 965A on September 11, 1980. This declares that the name of the Joint Venture was changed from its former name of "Texasgulf Golden Cycle Mining Company" to the present name of "Cripple Creek & Victor Gold Mining Company." e) Quitclaim Deed from Pikes Peak Mining to Cripple Creek & Victor Gold lylining Company, made effective January 1, 1991, recorded at Book 587, Page 100.
