<br />Article 14 -Taxes and Liens <br /> <br />14.1 Contractor shall pay taxes and contributions levied on the payroll of its <br />employees engaged in the performance of the Work, and all sales, use, excise, property and <br />other taxes levied upon or applicable to materials or Work furnished by G>ntractor. <br />14.2 Contractor shall assume, pay and discharge any and all liabilities, claims or <br />demands arising out of labor or material furnished in connection with the Work or in any <br />way connected with the performance of the Work, and shall maintain BMRI':c property free <br />and clear of any and all liens, claims or encumbrances of any type or description whatsoever <br />arising out of the failure by Contractor to make such payments when due. If Contractor <br />disputes in good faith any lien, claim or encumbrance of any labor, materialman or <br />subcontractor, in lieu of the immediate payment thereof, Contractor shall post adequate <br />security to protect BMRI from liability for the payment thereof and from any expense in <br />defending against that liabi]ity, until the dispute is finally determined. <br />Article 15 -Miscellaneous <br />15.1 The terms and provisions of Articles 5, 6, 8, 9, 10, 12, 13, 14, and 15 shall <br />survive the termination of this Agreement, howsoever brought about. <br />-24- <br />
