<br />SUBLEASE
<br />THIS SUBLEASE made and effective this 4th day of January, 1984 by and
<br />bebeen North Central Energy Company (hereinafter called the Sublessor) and
<br />Wycming Fuel Company (hereinafter called the Sublessee).
<br />WHEREAS, Sublessor is the lessee under the following wal leases which
<br />.ere originally taken by CF6I Steel Corporation and later assigned to Sublessor
<br />(conditioned on finalization of the purchase of the leases fran CF&I Steel
<br />Corporation), copies of which are attached hereto and made a part hereof:

<br />and, WHEREAS, Sublessee desires to sublet the lands (hereinafter called the
<br />Premises) described in the above leases, together with all the mining rights
<br />and privileges appurtenant thereto:
<br />NOt4, THEREFC)RE, for and in wnsideration of the sum of Ten Dollars
<br />($10.00), cash in hand paid by Sublessee to Sublessor, and in further
<br />consideration of the agreements hereinafter stated to be performed by
<br />Sublessee, it is agreed by and between the parties hereto as follows:
<br />1. Premises and Term
<br />Sublessor does hereby sublet unto Sublessee the lands described in
<br />the above listed and attached coal leases, together with all the mining
<br />rights and privileges appurtenant thereto, for a period beginning on
<br />January 4, 1984 and ending pursuant to the terms of said original coal
<br />leases.
