SAND AND GRAVEL MINING SUBLEASE <br />G <br />This Sand and Grave] Mining Sublease is made and entered into as of this S day of <br />~C.-x zoos- by and between Mineral Reserves, Inc., a Colorado Corporation <br />("Sublessor"), and Lafarge West Inc., ("Sublessee"), both of which are wholly owned subsidiaries <br />of Lafarge North America Inc. <br />Recitals <br />By virtue of that certain agreement ("Underlying Agreement") entitled "Warranty Deed <br />Courtner" dated 30 January 1998 between Butch Southway and John Sliman, d/b/a JBCO <br />Collectively ("Grantor") and Mineral Reserves Inc. ("Grantee"), attached hereto as Exhibit A and <br />incorporated by reference herein, <br />Sublessor has acquired the right to mine and remove sand and gravel, together with certain other <br />rights and options in certain real property and the improvements and fixtures located thereon <br />("Property"). <br />Sublessor desires to transfer its rights to use and occupy the Property and~e sublease the Property <br />to Sublessee on the conditions and subject to the terms hereof. <br />Sublease and Agreement <br />~~ <br /> <br />1. Sublease of Property. Sublessor hereby subleases to Sublessee the Property. To the full extent <br />authorized by the Underlying Agreement and to the extent permitted by applicable governmental <br />regulations, sublessee shall have the right to mine, remove and sell sand and gravel, and remove <br />structures including fences from the Property. Sublessee shall comply with all applicable terms <br />of the Underlying Agreement. <br />2. Term. This Sublease shall terminate on the date on which the Underlying Agreement <br />terminates (taking into account any additional periods provided for under the terms of the <br />Underlying agreement for the reclamation of the Property). <br />3. Underlying Agreement. Sublessor represents and warrants that (i) Sublessor has full right and <br />lawful authority to enter into this Sublease, subject to the Underlying Agreement, and (ii) the <br />Landowner under the Underlying Agreement has consented to the execution of this Sublease or <br />such consent is not necessary. <br />IN WITNESS WHEREOF, the parties have attached their signatures as of the day and year first <br />above written. <br />SUBLESSOR: MINERAL RESERVES, INC. <br />A Colo~rjado• CoQrporation ,~' ~ p <br />Name: Michael D.
