<br />(Pueblo County -Mining)
<br />. THIS DEED, made this ~ day of January, 1998, between SOUTHWEST
<br />READY-MIX INC. OF PUEBLO, a Colorado corporation (a/k/a Southwest Ready Mix, Ittc. of
<br />Pueblo, a Colorado wrporation) and JOIIN SLIMAN AND BUTCH SOUTHWAY d/b/a JBCO
<br />(as applicable, "Grantor") whose street address is 117 White Pine Drive, Alamosa, Colorado 81101,
<br />and MINERAL RESERVES, INC., a Colorado corporation {"Grantee"), whose street addtess is
<br />1400 W. 64th Avenue, P.O. Box 21588, Denver, Colorado 80221-0558:
<br />WI'TNESSETH, that Grantor, for and in consideration of the sum of Ten Dollars and
<br />other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged,
<br />has granted, bargained, sold and conveyed, and by these presents does grant, bargain, sell, convey
<br />and confirm unto Grantee, its successors and assigns forever, the real property with all its
<br />improvements, if any, situate, lying and being in the County of Pueblo and State of Colorado
<br />described on Exhibit "A" attached hereto and by [his reference incorporated herein (the "Real
<br />Pro a "),
<br />TOGETHER with all and singular the hereditaments and appurtenances thereto
<br />belonging, or in any way appertaining, and the reversion and reversions, remainder and remainders,
<br />rents, issues and profits thereof, and all the estate, right, title, interest, claim and demand whatsoever
<br />of Grantor, either in law or equity, of, in and to the Real Property, with the hereditaments and
<br />appurtenances.
<br />TOGETHER with any and all rights in and to any sand and gravel upon the Real
<br />Property.
<br />TO HAVE AND TO HOLD the Real Property, with all appurtenances, unto Grantee,
<br />its successors and assigns forever, And the Grantor, for itself, and its successors, does convey, grant,
<br />- bargain and agree to and with Grantee, its successors and assigns, that at the time of the sealing of
<br />these presents, Grantor is well seized of the Real Property, has good, sure, perfect, absolute and
<br />indefeasible estate of inheritance, in law, in fee simple, and has good right, full power and lawful
<br />authority to grant, bargain, self and convey the same in manner and form as aforesaid, and [hat [Ile
<br />same are free and clear from all former and other grants, bargains, sales, liens, taxes, assessments,
<br />encumbrances and restrictions of whatever kind or nature whatsoever, except for those matters set
<br />forth on Exhibit "B" attached hereto and by this reference incorporated herein.
<br />Grantor shall and will forever WARRANT AND FOREVER DEFEND the Real
<br />Property in the quite and peaceable possession of Grantee, its successors and assigns, against all and
