Each of these corporations is a sepazate legal entity with permits, contracts, employees etc. in its own name and which pays taxes unc its own tax identification number. The following are some of the names that have referred to the Western Mobile companies in the past: Broderick and Gibbons, Inc. Mineral Reserves, Inc. Mobile Premix, Inc. Mobile Premix Concrete, Inc. Westem Mobile Boulder, Inc. Westem Mobile Denver Westem Mobile Northern, Inc. Western Mobile Southern, Inc. Western Paving Constmction Company Lafazge Corporation finalized the acquisition of Western Mobile and its subsidiaries, effective Lune 4, 1998. In the near future, you will begin to heaz and see the Lafarge name via our phone messages, letterhead, signs, correspondence, at our sites, and on our company trucks and equipment. Over the next six months, Lafazge will determine how the corporate structure will be changed, perhaps by merging some of the corporations together and/or merging one or more of them into Lafazge Corporation. In this interim period before the corporate organizational structure is determined, each of the Western Mobile corporations has been advised by the Lafarge Legal Department to represent itself in the following manner: 11. 2. For purposes ofbusiness identity The Western Mobile corporations should continue using their existing federal tax identification numbers and should be identified as Westem Mobile (Northern, Southern, etc.) doing business (d/b/a) Lafazge. The Westem Mobile corporations will be using the "Lafazge" tradename, but not the "Lafazge Corporation" legal entity identification. For purposes of identifying corporate ownership If a pemut or a contract requires that the regulatory authority or other party be notified as to a change in control of the corporation, Westem Mobile should now be identified as being owned by Lafazge Corporation, not Redland PLC.
