<br />3. The Debtor shall retain the right to modify the <br />Plan at any time prior to confirmation upon such notice as <br />the Bankruptcy Court may require with the approval of such <br />Court. After confirmation of the Amended Plan, the Debtor <br />may make immaterial modifications and/or amendments as they <br />determine are necessary to implement and perform pursuant to <br />the Amended Plan. <br />4. The Debtor reserves the rights to begin or <br />continue any adversary proceeding permitted under Title 11, <br />of the United States Code. <br />ARTICLE VIII <br />RETENTION OF JURISDICTION <br />The Court shall retain jurisdiction over the Debtor's <br />Chapter 11 case for the following purposes: <br />1. Resolution of any and all objections to Claims; <br />2. Rejection of executory contracts that are not <br />discovered prior to confirmation and allowance of claims for <br />damages as to rejection of any such executory contracts <br />within such further time as the Court may direct: <br />3. The correction of any defect, and the curing of <br />any omission or inconsistency of the Amended Plan or the <br />Confirmation Order as may be necessary to carry out the <br />purposes and the intent of the Amended Plan; <br />4. Modification of the Plan after Confirmation <br />pursuant to the Bankruptcy Code and applicable rules; <br />5. Resolution of any and all disputes arising out of <br />the Amended Plan, the Confirmation Order or any other order <br />issued in respect of the Amended Plan; <br />6. Resolution of requests for orders closing or <br />reopening the Debtor's Chapter it case; <br />7. Resolution of requests for orders directing any <br />and all persons to execute such documents, including, <br />without limitation, deeds, bills of sale, deeds of trust, <br />notes, and similar instruments, as are necessary to effect <br />the terms of the Amended Plan and any other requests <br />pursuant to Section 1142(b) of the Bankruptcy Code.' <br />
