25. The Option and Joint Venture Agreement or Joint <br />venture Agreement - The Agreement dated May 17, 1984 and <br />executed by Peerless and DCC. Under this Agreement, <br />Peerless was made the mine operator and was given an option <br />to purchase up to an undivided 50 percent interest in DCC's <br />rights to AMCC's property under the Sublease Agreement. <br />26. The Springer Agreement - The Agreement executed <br />between Springer Building Materials, Inc. ("Springer"), <br />Peerless, Jasco Trucking Company, Inc., Durango Coal Company <br />and AMCC on November 6, 1985. The Agreement is described in <br />detail in Article VI of the Plan. This Agreement provided <br />for Springer Building Materials' posting of a S140,000 <br />letter of credit from Sun West Bank in Albuquerque, New <br />Mexico with the MLRD so that Peerless could obtain the coal <br />permit. <br />27. The Bank Agreement - The Agreement executed <br />between First National Bank of Durango (the "Bank"), AMCC, <br />Sam Arness and Peerless on November 6, 1985. The Bank is <br />the owner of certain property leases to AMCC which was in <br />turn subleased to DCC. Under the Agreement, the Bank <br />subordinated its lien rights on AMCC property obtained by <br />Court judgment to the rights of reclamation held by the MLRD <br />which allowed Peerless to obtain its coal mine permit. <br />28. The Burnett Agreement - The Agreement executed on <br />November 5, 1985 between Burnett Construction Company <br />("Burnett"), Peerless and AMCC. Under this Agreement, <br />Burnett subordinated its mechanics liens claims perfected <br />against AMCC property to the rights of reclamation held by <br />the MLRD. Along with the Melco Settlement Agreement, the <br />Bank Agreement and the Springer Agreement, the Burnett <br />Agreement allowed Peerless to obtain the coal mine permit <br />for the MLRD. <br />29. The Melco Settlement Agreement - The Agreement <br />executed November 5, 1985 between Melco Inc. ("Melco"), <br />Peerless, Sam Arness and AMCC. Under this Agreement, Melco <br />subordinated its mechanics lien claims perfected against <br />AMCC property to the rights of reclamation held by the MLRD. <br />Along with the Burnett Agreement, the Bank Agreement and the <br />Springer Agreement, the Melco Settlement Agreement allowed <br />Peerless to obtain the coal mine permit for the MLRD. <br />ARTICLE II <br />CLASSIFICATION OF CLAIMS AND INTERESTS <br />The claims and interests of the Estate are classified <br />as follows: <br />
