4. Claim - Any right to payment, or right to an <br />equitable remedy for breach of performance if such breach <br />gives rise to a right to payment against the Debtor in <br />existence on or as of the Petition Date, whether or not such <br />right to payment or right to an equitable remedy is reduced <br />to judgment, liquidated, unliquidated, fixed, contingent, <br />matured, unmatured, disputed, undisputed, legal, secured or <br />unsecured. <br />5. Class - Any class into which Administrative <br />Expenses, Allowed Claims or Allowed Interests are classified <br />pursuant to Article II. <br />6. Confirmation - The entry by the Court of the <br />Confirmation order. <br />7. Confirmation Date - The date the order confirming <br />the Amended Plan is entered. <br />8. Confirmation Order - The order entered by the <br />Court confirming the Amended Plan. <br />9. Contested Claim - Any claim as to which the Debtor <br />or any other party in interest has interposed an objection <br />in accordance with the Bankruptcy Code and applicable rules, <br />which objection has not been determined by an order or <br />judgment that is no longer subject to review, appeal, or <br />certiorari proceeding. <br />10. Court - The United States Bankruptcy Court for <br />the District of Colorado. <br />11. Debtor - Peerless Resources, Inc., a Colorado <br />corporation, the debtor-in-possession in this Chapter 11 <br />case, or any successor thereto. <br />12. Effective Date - 60 days after the date upon <br />which the Confirmation Order is final and no longer subject <br />to review, appeal or certiorari proceedings. <br />13. Person - Any individual, corporation, partner- <br />ship, joint venture, trust, estate or unincorporated <br />organization or any government or any agent or any political <br />subdivision thereof. <br />14. Petition Date - The date on which Debtor filed <br />its Chapter 11 petition with the Court. <br />15. Plan - This Chapter 11 Plan either in its present <br />form or as it may be altered, amended, or modified from time <br />to time in accordance with the provisions of Chapter 11 of <br />the Bankruptcy Code and applicable rules. <br />
