Stern as a Director, or have AVS updated [o <br />show that he no longer holds the position. <br />1esponse: <br />William Stern has been added to Table 2C, 2.03-9 as a Director. <br />Since the original Ownership and Control information was submitted, Wynnefield <br />Capital no longer is a 10 percent owner of Westmoreland Coal Company stock. Although <br />Wynnefield does not file as a publicly held company with the SEC, it is required to tle <br />Forms 13F as an Institutional Investment Manager. In addition, Wynnefield or certain of <br />its related entities file Schedule liD and Forms 3, 4 and 5 with the SEC in connection <br />with their ownership of Westmoreland Coal Company securities. <br />l~he most recent such filing, a Schedule 13D dated February 2, 2001, reports a significant <br />decrease in the amount of Westmoreland Coal Company voting securities held by <br />Wynnefield and its related entities.
