<br />AMENDED AND RESTATED IINDERGROIIND COAL LEASE
<br />THIS AMENDED AND RESTATED UNDERGROUND COAL LEASE (this
<br />"Lease"), dated as of April 18, 1995, is between MOUNT GUNNISON
<br />FUEL COMPANY, a Colorado corporation ("Lessor"), and MOUNTAIN
<br />COAL COMPANY, a Delaware corporation ("Lessee").
<br />RECITALS
<br />A. Lessor, as lessor, and Atlantic Richfield Company
<br />("ARCO"), as lessee, entered into an Underground Coal Lease dated
<br />as of October 18, 1974, as amended (the "Original Lease"),
<br />covering certain lands located in Gunnison County, Colorado.
<br />B. Lessee is a wholly-owned subsidiary of ARCO.
<br />C. Lessor and Lessee desire to enter into this Lease in
<br />order to amend and restate in their entirety the terms and
<br />provisions of the Original Lease as of the date of this Lease.
<br />NOW, THEREFORE, in consideration of $10.00 and other
<br />good and valuable consideration, the receipt and sufficiency of
<br />which are hereby acknowledged, the parties hereby agree as
<br />follows:
<br />1. Lessor does hereby demise, lease and let to Lessee,
<br />and Lessee leases from Lessor, all of the coal, coal rights,
<br />minerals associated with coal and the rights to such minerals,
<br />and any substances mixed with coal (all of which are hereinafter
<br />collectively sometimes called the "Coal Rights") on, in and
<br />underlying the following described lands in Gunnison County,
<br />Colorado (hereinafter called the "Leased Premises"):
<br />Township 14 South, Range 90 West
<br />Section 4: Lot 4, SW/4NW/4, W/25W/4;
<br />Section 5: Lots 1, 2, 3 and 4, S/2NW/4, E/25W/4,
<br />S/2NE/4, SE/4;
<br />Section 8: NE/4, N/2SE/4;
<br />Section 9: NW/4, N/25W/4, SW/4NE/4, SE/4;
<br />Section 10: NW/45W/4, S/2SW/4;
<br />Section 15: NW/4, SW/4, W/2NE/4, SW/45E/4;
<br />Section 16: E/2NE/4, E/2SE/4, NW/4SE/4;
<br />Section 21: E/2NE/4;
<br />Section 22: NW/4, N/2SW/4, W/2NE/4, N/25E/4.
<br />Township 13 South, Range 90 West
<br />Section 29: W/2SW/4;
<br />Section 30: S/2, S/2NW/4, SW/4NE/4;
<br />Section 31: N/2N/2, SE/4NE/4, N/25E/4, SE/45E/4;
