RESOLUTION OF THE BOARD OF DIItECTORS <br />OF <br />BLUE MOUNTAIN ENERGY, INC. <br />AUTHORIZING EXECUTION OF CERTAIN DOCUMENTS <br />WHEREAS: The successful development and operation of Blue Mountain Energy, Inc.'s (BME) <br />Deserado Mine requires that BME be able, from time to time, to bid on the <br />acquisition of federal and/or state coal leases, apply for and obtain bonds in <br />connection with the acquisition, development, operation and reclamation of such <br />leases, and to negotiate, enter into and perform such leases; and, <br />WHEREAS: Federal and/or State agencies engaged in the leasing of coal reserves desire that BME <br />designate which company officers are authorized on its behalf to execute documents <br />in connection with the actions of BME as described above; and, <br />WHEREAS: Management recommends and it is in BME's best interest that the authorized signers <br />for the purposes expressed herein be its President, General Manager and Manager of <br />Operations; <br />NOW, THEREFORE, BE IT RESOLVED THAT: <br />1. BME's President H. Melvin Platts, General Manager Lynn W. Mitton, and Manager of <br />Operations J. Edward Thatcher, or any one of them acting individually, be, and is hereby authorized <br />to execute, in behalf of BME, to execute post mining reclamation bonds and to execute exploration <br />bonds. <br />2. Said officers, and any one of them, are furthermore authorized and directed to execute, <br />file and deliver all additional documents necessary to carry into effect the procurement of Federal <br />Coal Leases and placement of required bonds. <br />3. A specimen copy of the respective signatures of each of the designated officers follow each <br />name, to-wit: <br />H.
