<br />insurance in reasonable amounts for the activities of the Company
<br />as currently conducted and in accordance with applicable Legal
<br />Requirements.
<br />Section 5.14 Books and Records. All of the books, records
<br />and accounts of the Company are in all material respects true and
<br />complete, are maintained in accordance with good business
<br />practice and all applicable Legal Requirements, accurately
<br />present and reflect in all material respects all of the
<br />transactions therein described.
<br />Section 5.15 Bank Accounts. Seller has disclosed to Buyer
<br />all bank accounts, brokerage accounts, and safe deposit boxes of
<br />any kind maintained by the Company and, in each case, identifies
<br />the Persons that are authorized signatories for, or which are
<br />authorized to have access to, each of them.
<br />Section 5.16 Environmental. (a) The Company is not the
<br />subject of any "SUperfund" evaluation or investigation, and is
<br />not the subject of any investigation or proceeding of any
<br />Governmental Authority evaluating whether any remedial action is
<br />necessary to respond to any release of Hazardous Substances.
<br />(b) There has not been issued to the Company, nor is
<br />the Company required under any Legal Requirements, to obtain, any
<br />license, permit, authorization or permission relating to the
<br />generation, handling, storage, transportation, or disposal of any
<br />Hazardous Substances.
<br />(c) All permits, licenses, permissions, and other
<br />authorizations relating to the properties owned or leased by the
<br />Company which are necessary under applicable Legal Requirements
<br />with respect to pollution or protection of the environment have
<br />been obtained, including Legal Requirements relating to actual or
<br />threatened emissions, discharges, or releases of pollutants,
<br />contaminants, or Hazardous Substances into ambient air, surface
<br />water, ground water or land, or otherwise relating to the
<br />manufacture, processing, distribution, use, treatment, storage,
<br />disposal, transport, or handling of pollutants, contaminants or
<br />Hazardous Substances. The Company is in compliance in all
<br />respects with all terms and conditions of such permits, licenses,
<br />permissions and authorizations, and is in compliance in all
<br />respects with all other limitations, restrictions, conditions,
<br />standards, prohibitions, requirements, obligations, schedules and
<br />time-tables contained in such Legal Requirements or contained in
<br />any other environmental, health or safety Legal Requirements
<br />relating to the properties owned or leased by the Company. The
<br />Company has received no notice of, and has no knowledge of
<br />circumstances relating to, any past, present or future events,
<br />conditions, circumstances, activities, practices, incidents,
<br />actions or plans, including but not limited to the presence, use,
<br />generation, manufacture, disposal, release or threatened release
