Letter of Aereement <br />Date: December 2, 2003 <br />To Whom It May Concern: <br />This agreement between Leone Sand and Gravel, LLC the operator of the Leone Gravel <br />Pit engaged in the activity of gravel mining and StoneRidge LLC the adjoining <br />landowner. This agreement will cover the property owned by StoneRidge LLC as <br />referenced by the Las Animas County Assessor as follows: Parcel Number 12035203, <br />legal description 40.00 acres part of StoneRidge Phase 6, The SES W of Section 34, <br />Township 32 South, Range 63 West, of the 6'~ P.M., Las Animas County, Stake of <br />Colorado. <br />This agreement is to provide that Leone Sand and Gravel LLC can carry on normal <br />gravel mining activities to within five feet (5') of the property line that is common to both <br />the StoneRidge LLC Properly and to the Leone Sand and Gravel, LLC Property. It also <br />provides that any damage caused by the mining operation to the common fence or any <br />other manmade structure will be compensated by Leone Sand and Gravel, LLC to the <br />adjacent landowner. This agreement is to comply with Rule 6.4.19 ofthe Colorado <br />Division ofMinerale and Geology/Mine land Reclamation Board Rules and regulations <br />dealing with any adverse affect on any significant, valuable or permanent man-made <br />structure within 200 feet of the affected land. <br />In addition the parties hereby agree that mining activities will not be objected to by any <br />managing member of StoneRidge LLC and further more that StoneRidge LLC will not <br />object to granting of a reclamation permit to Leone Sand and Gravel, LLC, on the <br />adjoining property. <br />Ifak any future date, The City ofTrinidad, Las Animas County or State of Colorado, <br />requires an additional ingress or egress into StoneRidge LLC development, Frank L. <br />Leone, Sophie R. Leone, and Leone Sand and Gravel LLC grants permission to <br />StoneRidge, LLC andJor its assignees access through the Leone property and adjacent <br />right of way. StoneRidge, LLC and/or its assignees will pay for any improvements to <br />said access. <br />This agreement shall be binding on the Heirs, Successors and assigns of Leone Sand and <br />Gravel, LLC and StoneRidge Limited Liability Company . <br />
