whose address is 7333 Quebec Street, Suite 8800, Denver,
Colorado 80207 ('Grace"), £or and in consideration of $10.00
in hand paid and other valuable consideration, receipt of
which is hereby acknowledged, hereby sells and conveys to
H-C COAL COMPANY, a Delaware general partnership, whose
address is 3333 Quebec Street, Suite 8800, Denver, Colorado
80207 ("H-G"), its successors and assigns forever,~all of
Grace's right, title and interest in and to the £ollouing
described land situated in Routt County, Colorado, to-wit:
Township 5 North, Range 88 west of the 6th P.A1.
Section 31: SE1/4
described under the Independent Resurvey as
Lots 11, 12, 19 and 20 of said Section 31.
Together with all water and water rights,
ditches, and ditch rights appurtenant thereto.
Grace warrants title against all persons claiming
by, through or under Grace, subject to taxes for 1978 payable
in 1979, and a deed of trust dated December 31, 1977 securing
payment of a five-year promissory note of Grace payable to
the order of Robert Ward Reubendale, Charles R. Baxter, Mary
Alice Amrine and Christopher O. Moffett in the amount of
$36,000.00.
By acceptance of this deed, H-G, for itself and
its successors and assigns assumes and agrees to pay and dis-
charge in due course all of the liabilities of Grace existing
on the date hereof arising. out of, or in any way relating to,
said land.
IN WITNESS WHEREOF, this deed has been executed
