CERTIFICATE OF SECRETARY <br />I. Belmore T. Martin, Secretary of the Robinson Brick Company, a <br />' Colorado corporation, certify that on the 6th day of July, 1981, the <br />Board of Directors of the corporation consented to the following <br />resolution, pursuant to Section 7-4-122 of the Colorado Corporation <br />Code. The following resolution was proposed, seconded and unanimously <br />adopted by the Board. <br />RESOLVED, that James L. Clark, a Vice President of the <br />' corporation is authorized to sign and execute for and <br />on behalf of the corporation all applications, reclamation <br />bonds, petitions, contracts, correspondence and any and <br />all other documents to be submitted to and filed with the <br />Mined Land Reclamation Board under the provisions of the <br />Colorado Mined Land Reclamation Act, Colorado Revised <br />Statutes 1983, as amended, Article 32; and <br />FURTHER RESOLVED, that James L. Clark, a Vice President of <br />the corporation, is authorized and empowered to represent <br />1 and act for the corporation in any capacity in connection <br />with any acts or activities with or before the Mined Land <br />Reclamation Board under the provisions of the Colorado Mined <br />Land Reclamation Act, and any action taken by the said James <br />L. Clark, for and on behalf of the corporation shall in all <br />respects be considered the act of the corporation; and <br />FURTHER RESOLVED, that James L.
