<br />THIS INDENTIIRE is made effective this 28th day of March,
<br />1985, by and between Colorado Coal Resources Company, a Colorado
<br />limited partnership, with offices located at 105 East Kiowa, Suite 200,
<br />P. O. Box 2679, Colorado Springs, Colorado 80901 (the "Grantor")
<br />and KAISER STEEL CORPORATION, a Delaware corporation, with
<br />offices located at 9400 Cherry Avenue, Foataaa, California 92335 (the
<br />"Grantee"). This indenture is executed and delivered by the Grantor
<br />pursuant to -~ g~uiremeats oP that certain Agreement, dated
<br />effective as of ~, 1985, by and among Equivest Associates, an~Cs
<br />Oklahoma general partnership (having as partners J. A. Frates,
<br />Robert E. Merrick, P. Peter Prudden, III, J. Anthony Frates, and
<br />Stephen I. Frates); and individually Stan P. Doyle, Charles S.
<br />Holmes, Howard H. Samuels and Clifford V. Brokaw, III (collectively,
<br />the "Frates Group"); and Chimney Rock Coal, a New Mexico limited
<br />• partnership; Colorado Coal Resources Compare;; a Colorado limited
<br />partnership; Energy Capital, Ltd., a Colorado limited partnership (also
<br />known as Colorado Pacific Energy) ; Aztec, Ltd. , a Colorado limited
<br />partnership (also known as Colorado Pacific Energy); Aztec, Ltd., a
<br />Colorado limited partnership (also known as Colorado Pacific Aztec);
<br />Colorado Coal Mining Company, a Colorado limited partnership; Perna
<br />Resources Corporation, a Colorado corporation; Perna Mining
<br />Corporation, a Colorado corporation (collectively, the "Perna Group");
<br />and Grantee.
<br />Grantor is the record title holder of the properties and
<br />signatory party io ~a certain contractual agreement which are included
<br />within the term "Properties", as defined below.
<br />The term "Properties", as used herein, is defined as: (a)
<br />those certain coal properties, together with the improvements now
<br />located thereon or affixed thereto and various articles of personal
<br />property located thereon or used is connection with the enjoyment,
<br />occupancy or operation of such properties and improvements, all
<br />located in the State of Colorado and more particularly described oa
<br />Exhibit A-2 and attached hereto (individually referred to as a "Coal
<br />Property" and collectively referred to as the "Coal Properties"); and
<br />(b) the rights, but subject to the obligations (the "SPS Rights"), of
<br />Colorado Coal Resources Corporation, a Colorac.- limited partnership
<br />("CCRC") and Perna Resources Corporation, a Colorado Corporation
<br />• ("PRC") pursuant to that certain Coal Supply Agreement dated as of
<br />November 12, 1983 (the "SPS Agreement") between CCRC, PRC and
