MEMORANDUM OF AGREEMENT
OF EASEMENT
THIS EASEMENT AGREEMENT is entered into the 30th day
of July, 1975, by and between GLADYS T. t4UNROE, also known
as Mrs. E. F. Munroe of 425 Richards Lake Road, Fort Collins,
Colorado, County of Larimer, and COLORADO LIEN CORPORATION,
hereinafter referred to as "Colorado Lien";
WITNESSETH:
WHEREAS, Gladys T. Munroe is the owner in fee simple of
certain parts of land in Larimer County, Colorado, in speci-
fically Section 31, Township 11 North, Range 69 West of the
6th Principal Meridian; and
WHEREAS, Colorado Lien has obtained the mineral rights
to lands or parcels within the afore-described section upon
which it intends to pursue an exploration adventure far the
purpose of developing a mineral called Gypsum. Colorado
Lien has acquired a mining lease for this purpose from the
Rocky Mountain Energy Company, whose address is Rocky Moun-
tain Energy Company, Lakeside National Bank Building, 4704
Harlan Street, Denver, Colorado; and
WHEREAS, Gladys T. Munroe desires to grant an easement
to Colorado Lien by this mutual agreement. ,
NOW, THEREFORE, in consideration of the mutual promises
and binding obligations herein contained, the parties agree
as follows:

7. Colorado Lien's Declaration and Agreement with
Rocky Mountain Energy Company which is a subsidiary of the
Union Pacific Company which is a subsidiary of the Union
Pacific Railroad Company is on a royalty basis of 10% of
